Terms of engagement

These terms set out how we work together. They are written to be read, not to hide behind. Where a signed engagement letter exists, it takes precedence over anything here.

01Who you are contracting with

Services under the Redfern & Gold brand are provided by Ashcroft Automations Ltd, registered in England and Wales (company number 17221216). References to "we" and "us" mean Ashcroft Automations Ltd.

02The Practice Operations Review

The Review is a fixed-fee assessment of your practice's public digital presence. It is based on information that is publicly available or that you provide. We use reasonable care and current benchmarks, but the Review is an informed assessment, not a guarantee of outcomes.

Figures such as estimated enquiries lost are illustrative models based on the data available to us. They are intended to direct attention, not to predict revenue.

03Fees and payment

Fees are quoted before work begins and confirmed in writing. The Review fee is payable on commission. Ongoing or implementation work is governed by a separate engagement letter with its own terms.

04What we ask of you

05Intellectual property

The Review document and its layout remain our intellectual property. On payment, you receive a perpetual licence to use the Review and its findings within your own practice. You may not resell or redistribute it as a commercial product.

06Confidentiality

We treat what we learn about your practice as confidential and will not identify you to others without consent. We may describe engagements in anonymised, non-identifying terms.

07Liability

We do not exclude liability for anything that cannot lawfully be excluded. Subject to that, our total liability arising from a Review is limited to the fee paid for it. We are not liable for indirect or consequential loss, or for decisions you take based on the Review.

08Ending an engagement

Either party may end an ongoing engagement on reasonable written notice. Fees for work already done remain payable. A completed Review is non-refundable once delivered.

09Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
